End-User License Agreement

1. Agreement to Terms

This End-User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and Netflo ("Company," "we," "us," or "our") for the use of the Netflo software application and related services ("Software" or "Service"). By downloading, installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement.

2. License Grant

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Software for your internal business purposes in accordance with the documentation and terms provided.

This license permits you to access and use the Software for cash flow forecasting, financial analysis, and related business intelligence purposes as intended by the Software's design and functionality.

3. Restrictions

You agree not to:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
• Modify, adapt, alter, or create derivative works of the Software
• Remove, alter, or obscure any proprietary notices on the Software
• Use the Software for any illegal, harmful, or unauthorized purpose
• Distribute, sublicense, lease, rent, or transfer the Software to third parties
• Use the Software to compete with or develop competing products or services
• Attempt to gain unauthorized access to other users' data or accounts
• Interfere with or disrupt the Software's functionality or security features

4. Data and Privacy

Your use of the Software is also governed by our Privacy Policy, which is incorporated by reference into this Agreement. You acknowledge that:

• The Software may access and analyze your QuickBooks financial data to provide forecasting services
• We implement industry-standard security measures to protect your data
• You retain ownership of your business data and financial information
• We will process your data in accordance with applicable privacy laws and our Privacy Policy

5. Intellectual Property

The Software, including its code, algorithms, user interface, design, and all intellectual property rights therein, is and remains the exclusive property of Netflo and its licensors. No title to or ownership of the Software is transferred to you. All rights not expressly granted are reserved.

6. Termination

This Agreement is effective until terminated. You may terminate this Agreement at any time by discontinuing use of the Software and deleting all copies in your possession. We may terminate this Agreement immediately without notice if you breach any provision of this Agreement.

Upon termination, you must cease all use of the Software and destroy all copies in your possession or control.

7. Disclaimers

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Software will be uninterrupted, error-free, or completely secure. Financial forecasts and analyses provided by the Software are estimates and should not be relied upon as guaranteed outcomes.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NETFLO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR USE OF THE SOFTWARE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in Delaware.

10. Updates and Changes

We reserve the right to update or modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement on our website or through the Software. Your continued use of the Software after such notice constitutes acceptance of the updated Agreement.
